1. Acceptance of Terms

These Terms & Conditions ("Terms") govern your use of nourishbyroundtree.com (the "Site") and the services offered by Nourish by The Roundtree ("Nourish," "we," "us," or "our"), including reservations, pickup orders, private dining inquiries, and email communications. By using the Site or our services, you agree to these Terms. If you do not agree, please do not use the Site.

2. About Us

Nourish by The Roundtree is a seasonal restaurant located in Bridgehampton, New York, operating primarily from May through September each year. Hours, menu, availability, and services are subject to change without notice. We may close, modify, or suspend operations at our discretion, including during off-season months.

3. Use of the Site

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates applicable law or regulation

• Attempt to gain unauthorized access to the Site or any related systems

• Interfere with or disrupt the Site, its servers, or networks

• Use automated means (bots, scrapers) to access the Site without written permission

• Impersonate any person or entity, or misrepresent your affiliation with any person or entity

• Use the Site to transmit any unlawful, harassing, defamatory, or infringing content

4. Reservations

Reservations are facilitated through Resy. By booking a table, you also agree to Resy's terms of service. Nourish reserves the right to confirm, modify, relocate, or cancel reservations at our discretion, including in response to operational constraints, weather, or overbooking. No-shows and late cancellations may be subject to fees as disclosed at the time of booking.

5. Pickup Orders and Payment

Pickup orders are facilitated through Toast. By placing an order, you also agree to Toast's terms of service. All payments are processed by Toast; Nourish does not directly store your payment card information. Prices, menu items, and availability are subject to change without notice. We do not currently offer delivery.

6. Menu, Allergens, and Dietary Information

Our menu changes seasonally and with ingredient availability. While we take care to prepare food responsibly, our kitchen handles common allergens including dairy, eggs, wheat, soy, peanuts, tree nuts, fish, shellfish, and sesame. We cannot guarantee that any item is free from cross-contact. Guests with severe allergies should speak with a manager before ordering. Nourish is not liable for allergic reactions or dietary issues resulting from allergies.

7. Gift Cards, Private Dining, and Catering

Separate terms may apply to gift cards, private dining bookings, catering agreements, and event services. Those terms will be provided at the time of booking and, where they conflict, govern over these general Terms.

8. Intellectual Property

All content on the Site, including text, logos, photographs, menu descriptions, videos, graphics, and design, is owned by Nourish by The Roundtree or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws. You may view and share content for personal, non-commercial use. Any other use, including reproduction, distribution, modification, or commercial use, requires our prior written permission.

The names "Nourish by The Roundtree" and "The Roundtree," along with associated logos, are trademarks of their respective owners.

9. User-Submitted Content

If you submit content to us (for example, by tagging us on social media, emailing photos, or posting a review), you grant Nourish a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, and display that content in connection with marketing the restaurant, subject to applicable law. You represent that you own or have the rights to any content you submit.

10. Third-Party Links and Services

The Site may link to or integrate with third-party services (including Resy, Toast, Mailchimp, Google, and social media platforms). We do not control and are not responsible for the content, terms, or privacy practices of third-party services. Your use of those services is governed by their own terms.

11. Disclaimers

The Site and all content are provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or harmful components. Menu, pricing, hours, and availability information is subject to change and may contain errors or omissions.

12. Limitation of Liability

To the fullest extent permitted by law, Nourish by The Roundtree, its owners, affiliates, employees, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site or our services, even if advised of the possibility of such damages. Our total liability for any claim arising out of these Terms shall not exceed the greater of (a) the amount you paid to us in the six months preceding the claim, or (b) one hundred dollars ($100).

Nothing in these Terms limits liability that cannot be limited under applicable law.

13. Indemnification

You agree to indemnify and hold harmless Nourish by The Roundtree and its affiliates from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising out of your violation of these Terms or your misuse of the Site.

14. Governing Law and Venue

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law principles. Any dispute arising out of or related to these Terms or the Site shall be brought exclusively in the state or federal courts located in Suffolk County, New York, and you consent to the personal jurisdiction of those courts.

15. Changes to These Terms

We may update these Terms from time to time. The "Last Updated" date above reflects the most recent version. Continued use of the Site after changes constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
